Recently advised on the acquisition by the Italian GKSD Group of a majority stake in Surgca, resulting in an investment of one billion Saudi Riyals (SAR 1 billion). We led the negotiations on behalf of the selling company for both the Shareholders' Agreement and the Share Purchase Agreement (SPA), in addition to providing the Completion Statement on fulfilment of the SPA's conditions precedent and other relevant documents.
Advised the Saudi Public Investment Fund on corporate finance and project finance matters.
Assisted CEER, the first electric vehicle manufacturer in the Arab region, with international joint venture agreements and technology licenses for its operations in Saudi Arabia.
Drafted and negotiated the joint venture agreement between Elegancia Facilities Management (a subsidiary of Qatar Investment Holding Group) and Total Care Facilities Management, which led to the incorporation/registration of both Mina Facilities Management and its Free Zone Branch.
Assisted multiple clean energy companies on corporate structure and obtaining foreign investment license such as First Folar-KSA.
Assisted the Saudi Electricity Company (SEC) with the largest Mudaraba transaction in the Middle East, spin-off of the power purchase function, and corporate governance matters.
